Terms of license
These terms apply to every excerpt licensed by Crawl Media LLC.
Parties and scope
These Terms of License (“Terms”) govern every excerpt license issued by Crawl Media LLC, a Florida limited liability company (“Crawl Media”, “we”, “us”), to the person or entity named in a license confirmation (the “Licensee”). A license is formed when Crawl Media issues a written license confirmation identifying the Excerpt ID, the Licensee, the permitted Licensed Work and the fee, and the Licensee pays that fee.
Each license covers one specific excerpt, up to 60 seconds in duration.
Definitions
- “Excerpt” means the segment of audiovisual or audio material identified by its Excerpt ID in the license confirmation, as delivered by Crawl Media.
- “Licensed Work” means the single short-form video produced by the Licensee that incorporates the Excerpt, as described in the license confirmation.
- “Rightsholder” means the owner or authorized licensor of the source material from which the Excerpt is drawn.
- “Source” means the film, television episode, podcast episode or archival advertisement identified in the catalog entry for the Excerpt.
Grant of license
Subject to these Terms and payment of the fee, Crawl Media grants the Licensee a limited, non-exclusive, non-transferable, revocable license to reproduce the Excerpt within one Licensed Work and to publish that Licensed Work on the platforms named in the license confirmation.
Licensed use: editorial commentary, criticism, and educational short-form video in vertical format (9:16).
No other use is licensed. Any use not listed in the license confirmation requires a separate license.
Permitted modifications
Licensee may add original text, subtitles, sound effects, and commentary overlay.
The Licensee may crop or reframe the Excerpt to the 9:16 format and trim it to a shorter duration. The Licensee may not alter the Excerpt in a way that misrepresents its content or context, remove or obscure any embedded notice, or combine it with material that is unlawful, defamatory or infringing.
Attribution requirements
Unless the license confirmation states otherwise, the Licensed Work must credit the Source and the Rightsholder, either on screen for the duration of the Excerpt or in the published description of the Licensed Work, in the following form:
Attribution must be legible, must not be truncated by the platform’s display, and must remain in place for as long as the Licensed Work is published. Failure to attribute is a material breach of these Terms.
Restrictions and sublicensing
Non-transferable. Editorial use only.
The license is personal to the Licensee. The Licensee may not sublicense, assign, resell, share, lend or otherwise transfer the license or the Excerpt file to any third party, including clients, channel partners, agencies or affiliates, without Crawl Media’s prior written consent. Each Licensed Work and each Licensee requires its own license.
The Excerpt may not be used in advertising, sponsorship or product endorsement; in political campaigning; in any manner implying endorsement by the Rightsholder or by persons depicted; as a standalone clip or as stock footage; in a compilation without commentary; or in any dataset used to train or evaluate machine-learning systems.
Delivery, format and fees
Excerpts are delivered as digital files or secured download links in the format described in the catalog entry. The Licensee must store files securely, limit access to persons working on the Licensed Work, and delete working copies when the license ends.
Fees are quoted per Excerpt and per Licensed Work and are payable before delivery unless the license confirmation provides otherwise. Fees are non-refundable once the Excerpt has been delivered.
Sourcing and warranties
Excerpts sourced directly from original rightsholders.
Crawl Media warrants that (a) it holds, under written agreement with the applicable Rightsholder, the rights necessary to grant the license described in Section 3, and (b) the Excerpt as delivered is, to Crawl Media’s knowledge, free of liens, claims and encumbrances that would prevent the licensed use. The Licensee warrants that the Licensed Work will comply with these Terms and with applicable law, and that the Licensee holds all rights in the material it adds to the Excerpt.
Except as expressly stated in this Section, the Excerpt is provided “as is” and Crawl Media disclaims all other warranties, express or implied, including fitness for a particular purpose.
Limitation of liability
Crawl Media’s aggregate liability arising out of or relating to a license is limited to the fee paid for that license. Neither party is liable to the other for indirect, incidental, special or consequential damages, or for lost profits or revenue, however arising. Nothing in these Terms limits liability that cannot be limited under applicable law.
Term and termination
A license continues for the life of the Licensed Work unless terminated. Crawl Media may terminate a license on written notice if the Licensee breaches these Terms and, where the breach can be remedied, fails to remedy it within ten days of notice. On termination the Licensee must cease all new uses of the Excerpt and remove it from any unpublished material. Licensed Works published in compliance with these Terms before termination may remain online unless the notice states otherwise.
Governing law and venue
These Terms and every license are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. The state and federal courts located in Hillsborough County, Florida have exclusive jurisdiction over any dispute arising out of or relating to these Terms or a license, and each party submits to the personal jurisdiction of those courts.
General
These Terms, together with the license confirmation, are the entire agreement between the parties regarding the Excerpt and supersede prior discussions. If any provision is held unenforceable, the remainder continues in effect. No waiver is effective unless in writing. Crawl Media may update these Terms for future licenses; the version in force when a license confirmation is issued governs that license.
